 MINUTES OF A MEETING OF THE BOARD OF DIRECTORS OF BD ASSOCIATES (UK) LTD HELD AT: 1ST FLOOR, 26 FOUBERTS PLACE, LONDON W1F 7PP HELD ON: 10 JUNE 2013 PRESENT: Dr Clifford OPOKU Emmanuel ADDO – Company Secretary It was resolved that Dr Clifford OPOKU be and is hereby appointed Chairman of the Meeting. Dr Clifford OPOKU, chairman of the Board of Directors, states that this meeting of the board has been called with the aim of agreeing the sale and voting rights of all shares One Million and Forty Four Thousand (1,044,000) in JSC ‘Rakhat’. SALE OF SHARES It was unanimously resolved to grant general Power of Attorney to: Mr Anatoliy Popelyushko, who shall act on behalf and in the best interest of BD Associates (UK) Ltd, to negotiate and undertake all, within the framework of the laws of the Republic of Kazakhstan, in order to sign and conclude the transaction.
